Diepenbrock Harrison provides client counseling and transactional expertise in every phase of real estate and business matters. These include the formation and operation of business entities and organizations, as well as the acquisition, deposition, leasing, financing, development, and ownership of real property. The principal practice areas of our real estate and business practice are as follows:

Business Counseling and Representation

We have supported some of the most complex and significant transactions in the region. We are regularly involved in the design, growth, and development of both small businesses and major regional business systems. As the region's economy has developed and changed in recent decades, we have handled a broad array of transactions (start-ups, sales, leases, mergers, financing transactions, and affiliations) that involve businesses in the region. In particular, we have experience in the structuring and operating needs of both new and existing business organizations, particularly those where a thorough knowledge of the regulatory environment is required.

Business Organizations

We assist and counsel clients in forming organizations that will acquire service and manufacturing companies. We also form business entities for clients that intend to acquire title to, or interests in, real property that will be developed. These business services include, among other things, the negotiation and preparation of partnership agreements and co-ownership agreements, and the formation and operation of nonprofit organizations, for-profit corporations, and limited liability companies. Diepenbrock Harrison provides client counseling and transactional expertise in every phase of real property acquisition, financing, development, and ownership.

Construction Contracts and Design Professional Service Agreements

We represent owners, contractors, and design professionals in the negotiation, documentation, amendment, and enforcement of construction contracts and agreements between owners and architects, including general contractor agreements, subcontractor agreements, interior design, and other similar agreements. Our attorneys also assist in the lien release process and construction financing procedures.

Easements and CC&Rs

We represent landowners and other interested parties in granting rights in and placing restrictions upon real property. Our services include the preparation and recording of covenants, conditions, and restrictions upon commercial and residential subdivisions, shopping centers, and office buildings; drafting and negotiating easements and licenses to be conveyed to adjacent landowners and other interested parties; liaison with government and utilities in the grant of public service easements; and negotiation and drafting of reciprocal easement agreements among adjoining property owners.

Environmental Counseling

We review and analyze Phase I and Phase II environmental assessments and reports for buyers, lenders and others; provide counseling as to compliance with environmental disclosure and permitting requirements; and provide an assessment of environmental liabilities by landowners, tenants, operators, and lenders with respect to contaminated sites.

Financing

We represent borrowers and lenders in many types of financing arrangements, including property acquisition loans, construction and development loans, take-out and permanent financing, seller carry-back loans, institutional loans, syndication loans, and bond financing. Our services include negotiation and drafting of loan documents, including the preparation of loan agreements, promissory notes, deeds of trust, security agreements, collateral assignments of leases, and all other instruments which are a part of secured lending; title review and analysis; and other due diligence matters relating to lending transactions. Our lawyers also have extensive experience in representing borrowers and lenders in loan workouts, restructuring, and loan modifications.

Health Care Law

We have attorneys who have counseled and represented health care providers and major health systems for over 35 years and serve some of the most significant players in the health care industry. We have both extensive experience and expertise in the areas of health care business transactions, provider reimbursement and payment issues, managed care, provider operations support and health care litigation, and alternative disputes resolution. The principal areas of our health care law practice are as follows:

1. Business and Real Estate Transactions. We have supported some of the most complex and significant transactions in the health care industry such as the formation of a national Catholic healthcare system, the growth and development of regional health care delivery systems, and the design of physician group practices and integrated delivery systems. As the health care industry has consolidated over the past several decades, we have handled a broad array of sales, leases, mergers, financing transactions, and affiliations between health care systems and with physician organizations. In particular, we have experience in the structuring and operating needs of physician-hospital organizations and integrated delivery systems in which a thorough knowledge of the regulatory environment is required.

2. Provider Reimbursement and Payment Disputes. We represent physicians, hospitals, and other health care providers in payment disputes with both private insurance carriers and governmental payment programs. We have served in both the capacity as advocates and advisors in payment recovery actions in which additional provider compensation has been successfully obtained under arrangements with third party payors and the Medicare program.

3. Managed Care. We have played an active role in the evolution of the health care delivery system’s response to managed care in the region. We have represented health systems, hospitals, and health care providers in negotiating contracts with third party payors, as well as supported the design and operation of integrated delivery system arrangements including the formation of nonprofit medical foundations and physician hospital risk sharing arrangements.

4. Provider Operations Support. We have served as counsel to hospitals and health care providers for several years and have substantial experience in the areas of licensing, Medicare certification, JCAHO accreditation, Medical Staff issues, credentialing, and patient consent and privacy issues.

5. Health Care Litigation and ADR. We have substantial experience in the representation of health care providers in a variety of private disputes and public litigation including actions to protect publicly awarded contracts, to recover payments improperly withheld, and to secure rights of our clients before regulatory agencies in the health care industry. In addition, we have substantial experience in serving as neutrals in the health care industry both as arbitrators and mediators for complex problems that require a knowledgeable and experienced neutral.

Housing

We have attorneys with substantial experience in, and a commitment to, housing development projects for families and seniors. We work with a variety of different development organizations including developers, funding organizations, and nonprofit affordable housing development organizations to build the supply of safe, secure and affordable housing for the region's senior and low-income families. Our work in this area includes all aspects of housing development including real estate acquisition, land-use development activities, business organization development, funding and financing transactions, and operations support.

Land Use Matters

We have extensive experience and expertise in matters concerning the use and development of real property. Our services involve assistance in the annexation of land; amendments to city and county general plans and local community plans; causing the rezoning of property; obtaining special permits and variances; obtaining approval of subdivision and parcel maps; overcoming land use restrictions; and obtaining all necessary land use and development entitlements. Our lawyers have appeared before all categories of public officials, including city and county officials, City Councils, County Boards of Supervisors, Planning Commissions, and design review staff.

Leasing

We represent landlords, tenants, subtenants, and property managers in matters pertaining to all types of leases, including single tenant and multi-tenant office leases, warehouse leases, ground leases, shopping center leases, agricultural leases, industrial leases, and others. Our services include preparation of letters of intent and liaison with leasing brokers; drafting and negotiation of leases and related leasing documents; assistance in due diligence and analysis of properties to be leased; preparation of form leases for use by office and shopping center landlords or managers; preparation of tenant improvement work letters; counseling in connection with estoppels, subordination agreements, and lease amendments; and the negotiation and preparation of subleases, lease assignments, and lease termination agreements.

Property Management

We represent owners, management companies, and owners' associations in the operation and management of real properties. Our services include the negotiation and drafting of management agreements; interpretation and enforcement of leases and CC&Rs; full services in connection with unlawful detainer actions against tenants; and other day-to-day leasing and property management issues.

Real Estate Litigation

Our trial lawyers represent clients in almost every kind of real estate related litigation, including eminent domain actions (both landowners and condemning agencies), partitions, foreclosures, receiverships, evictions, contract disputes, commission claims, construction defects, actions for rescission and specific performance, and other issues.

Real Property Acquisitions and Sales

We represent both buyers and sellers in the purchase and sale of developed and undeveloped real property. Our services include the drafting and negotiation of letters of intent, and purchase and sale agreements; drafting and negotiation of broker's commission and listing agreements; title review and analysis; assistance in due diligence and analysis of property to be acquired; and all other matters necessary to take a transaction from a proposal to a closing. We also have substantial experience in structuring 1031 tax deferred exchanges, including simultaneous, delayed, and reverse exchanges.

Subdivisions

We represent landowners in the subdivision and parcelization of larger tracts of real property for development and sale. Our services include review, analysis and comment upon parcel and subdivision maps and subdivision or development agreements, and liaison with engineers and surveyors; preparation and pursuit of applications for subdivision approvals, lot and boundary line adjustments, negative declarations and certificates of compliance, including hearings before all necessary governmental authorities; and review and analysis of environmental impact reports, traffic studies, and other items related to the subdivision of land.

Appellate Litigation. Our attorneys have considerable expertise in all appellate proceedings from administrative mandamus to appeals before the California Supreme Court. Several of our appellate representations have resulted in landmark decisions.

Jeffrey K. Dorso

Jeffrey K. Dorso joined the Firm in 2001 and is the Chair of the Land Use and Environmental Law Department of Diepenbrock Harrison. Jeff's practice spans California and focuses on large scale, complex development, natural resources, and environmental issues. Typical projects include a range of legal issues, including public/private partnerships, development agreements, financing, due diligence, entitlements, the Subdivision Map Act, the State Mining and Reclamation Act (SMARA), the Williamson Act, the Clean Water Act, and environmental review under the California Environmental Quality Act (CEQA) and the National Environmental Policy Act (NEPA).

Jeff is admitted to practice before all California courts and the United States District Court for the Eastern District of California. He is a member of the California State Bar Environmental Law and Real Property Sections, and the Sacramento County Bar Association Environmental Law Section.

Some recent representative development projects include: the development, financing, and entitlement of the Sacramento Railyards development (one of the largest urban infill projects in the country with over 2,000,000 sq. ft. of office space entitlements and 12,000 residential units on 61 city blocks); negotiating the development for property within the Bridge District in West Sacramento (which was awarded over $24,000,000 in Proposition 1C funds); and the successful development of Granite Regional Park, a regional public/private partnership that includes over 2,000,000 sq. ft. of office entitlements.

The Land Use and Environmental Law Department has represented businesses, small and large and public entities, in obtaining land use entitlements and complying with California and federal environmental and natural resource laws.

We offer representation in the area of land use and environmental law to clients who seek the responsiveness and value that a specialized group of attorneys can provide. With offices located in California's state capital, our attorneys are close to the lawmakers, state agencies and regulatory bodies that shape this complex and changing area of the law. Our expertise is necessarily broad, encompassing land use and environmental permitting, hazardous waste, regulatory matters, and litigation under the major federal and state statutes.

California Environmental Quality Act ("CEQA")

We have extensive experience in CEQA compliance and litigation. Our attorneys advise clients through permitting and CEQA compliance processing and have handled a number of matters of statewide significance in this area. We have particular experience in the application of CEQA to the promulgation of statewide regulation under CEQA's functional equivalent rules.

Land Use and Development Permitting

We represent numerous private clients in obtaining a variety of development permits and other regulatory approvals on the state, local and federal level, including conditional use permits and other land use and zoning entitlements. We also advise out-of-state clients on compliance with California environmental regulations. Our expertise is particularly diverse in this area, including advising clients, and handling contested matters, concerning California regulation of pesticides, and mining and reclamation requirements.

Surface Mining and Reclamation

We not only counsel clients as their mining and reclamation projects move through various permitting processes but we also defend the clients’ entitlements at the administrative level and, if needed, in court. We represent state and national trade associations in the legislative and rule-making process and handle regulatory challenges in court. We have extensive experience in working with the California Department of Conservation and the State Mining and Geology Board. We regularly comment upon, and if necessary litigate, important issues of interpretation regarding California’s Surface Mining and Reclamation Act ("SMARA").

Vested Rights/Permit Defense

We have extensive experience in advising clients regarding the scope of vested mining rights, and vested permit rights in general. Specific legal rules govern both a mine operator’s right to expand vested operations to serve growing markets and the right of governmental agencies to regulate such land uses. We were lead counsel in the landmark California Supreme Court case, Hansen Bros. Enterprises v. County of Nevada, 12 Cal. 4th 533 (1996), which helped define mining rights under state law, and provided guidelines determining the extent to which government agencies could impose new regulations on existing mining operations.

Air Quality

Our attorneys handle air matters on the local, state and federal level and have advised private and public entities in all aspects of air regulation. We represent businesses and governmental agencies in connection with compliance with air quality laws and in defending against claimed violations of those laws. We represent counties promulgating and enforcing air quality regulations. We also advise clients on air toxics regulation under California’s Tanner Act, including the regulation of naturally-occurring substances such as silica and asbestos.

Contaminated Properties

We represent public and private clients in the development of historically contaminated properties in urban areas, i.e. brownfields. We have particular experience in the application of the California Redevelopment Law, the Polanco Act, CERCLA, the Porter-Cologne Water Quality Control Act, and California’s Superfund law. We also have extensive experience in connection with soil and groundwater cleanup, representing several clients before the State Underground Storage Tank Cleanup Fund.

International Mining

Diepenbrock Harrison attorneys provide important services to its international mining clients, including all aspects of mineral acquisition, permitting, environmental compliance, joint venture development and finance for coal, uranium, and hard minerals. In this capacity Diepenbrock Harrison also advises clients on the Foreign Corrupt Practices Act.

Endangered Species Act

We represent clients on numerous issues relating to the Federal and State Endangered Species Act. These issues include, among others, representing clients in both the section 7 and section 10 consultation process, handling issues regarding species designations, and representing clients during the critical habitat designation process.

Fish and Game

We work with the California Department of Fish and Game in obtaining permits for fish and wildlife protection. This experience includes resolving disputed matters, in administrative proceedings and court cases, for issuance of 1600 agreements.

National Environmental Policy Act ("NEPA")

We represent clients complying with the environmental review process under NEPA. We also represent clients challenging non-compliance with NEPA by federal agencies and "hybrid" agencies such as the Tahoe Regional Planning Agency.

Oil & Gas Practice

Diepenbrock Harrison's oil and gas practice offers the full spectrum of representation to oil and gas producers. We advise clients throughout the U.S. and around the world on a broad range of oil and gas transactional and regulatory projects, from oil and gas exploration and infrastructure entitlements to the marketing of finished products to the customer.

Regulatory Challenges

In adopting regulations, state, regional and local agencies must comply with specific provisions of California law known as the Administrative Procedure Act. We have extensive expertise in handling these matters at the administrative level and in litigating these issues in state and federal court on behalf of state and national clients. Our clients include large automobile manufacturers, state and national trade groups as well as private industry.

Water Quality

We advise clients on the applicability of federal and state law governing water quality and in obtaining necessary permits. We defend private and public entities in enforcement actions and citizen suits brought under the various water quality statutes.

Water Rights

We advise clients on the scope of their water rights and have represented public and private entities in connection with flood damage claims and disputes over changes to natural water courses.

Construction & Public Contracts

Our construction lawyers handle a wide range of construction-related matters for our clients, ranging from small and simple matters to large and complex matters. We are experienced in providing legal services in a great variety of construction projects, including heavy highway and bridge projects, public works building projects, water reservoir projects, water treatment projects, waste water treatment projects, levee stabilization projects, commercial developments and residential developments. Our services include representing contractors, subcontractors, suppliers and owners in the preparation, defense and prosecution of construction delay claims, acceleration claims, extra work claims, termination claims, construction defect claims, differing site condition claims and professional negligence claims involving architects and engineers. We also represent general contractors, subcontractors and suppliers on bond claims, mechanics liens and stop notices.

Additionally, for our contractor clients, we draft construction contracts and revisions to construction contracts drafted by others, and we provide routine interpretation and modification of general conditions for construction contracts. For our public entity owners, including school districts and cities, we have prepared owners' design professional contracts, construction contracts, general conditions, change order documents and prequalification packages. We advise our clients on pre-award matters, such as prequalification of bidders, responsiveness of bids, bid protests, bonding questions, and substitution of listed subcontractors. We have extensive experience in government contract disputes involving federal, state, and local public agencies and entities. We also advise our clients on a wide range of questions and problems experienced during construction, such as assisting with scheduling issues, construction management issues, and providing counsel during construction about claims as they arise and how to avoid claims in the future. We are pleased to provide in-house seminars, at no cost to our clients, on important legal issues and developments affecting the construction industry.

Our public contract lawyers handle a wide range of matters for our clients in addition to construction (public works) matters, ranging from advice in the preparation of bids and bid solicitations to litigation over terminated contracts. We are experienced in providing legal services related to a great variety of public contracts, such as contracts for solar energy, aircraft retrofitting and maintenance services, fire retardant purchases, gasoline purchases, security guard services, mental health services, towing services, and electronic data processing and telecommunications purchases, among many others. Our services include representing contractors, subcontractors, service providers, disabled veteran business enterprises, small businesses, disadvantaged business enterprises, suppliers and owners in all aspects of public contract law. We have prepared bid specifications for public owners, advised clients on submitting bids on public procurements, represented private corporations in negotiating contracts with public owners for cutting-edge technology, advised both bidders and public entities in responding to bid protests, represented prime and subcontractors in disputes over use or substitution of listed subcontractors, both responded to and asserted California and Federal False Claims Act violations, and represented both contractors and public owners in termination negotiations and post-termination litigation.

Our construction and public contract law group practices in both State and Federal Court, including the United States Court of Federal Claims. Michael A. Manley, Of Counsel for Diepenbrock Harrison, is a 39-year attorney who most recently was General Counsel for ABHOW (American Baptist Homes of the West), one of the nation's largest non-profit providers of senior housing and healthcare. As a specialist for over 22 years in healthcare and senior housing law, Mr. Manley was the founding general counsel for ABHOW and represented the company in major acquisitions, bond financings, and regulatory affairs before federal and state agencies. Prior to his work for ABHOW, he served for 12 years as the founding General Counsel for Eskaton, a non-profit senior care and housing provider in Sacramento, California.

Mr. Manley represents senior housing providers throughout the West in providing general legal advice, new facility planning and acquisitions, exsiting facility expansion permitting and licensing, and affiliation planning, among other matters. He has appeared before major regulatory bodies including the federal Provider Reimbursement Review Board (Medicare), the California Office of Statewide Planning and Development, the California Office of Continuing Care Contracts and many others. Mr. Manley has participated on faculties of the National Health Lawyers' Association, the American Association of Homes and Services for the Aging and many others.

Mr. Manley retired from ABHOW in 2001 and returned to "Of Counsel" practice with Diepenbrock in early 2009. He has served as board chair of Episcopal Senior Communities, a 5-facility lifecare provider in Northern California and currently sits on its parent board as well as the parent board of ABHOW, Cornerstone Affiliates. He also serves on the Aging Services of California Public Policy and Legal Committees.

Mr. Manley received his Bachelor of Arts degree (With Honors) from the University of California, Berkeley, in 1960 and his Juris Doctor degree (With Distinction) from the University of the Pacific, McGeorge School of Law in 1970, where he was first in his class and valedictorian. While at McGeorge he was Articles Editor of the initial edition of the "Pacific Law Journal", McGeorge's law review.

Jonathan R. Marz is a member of the firm's Land Use and Environmental Law Department. In his practice, Jonathan represents clients on matters and in disputes involving land procurement, use, and development; environmental issues; and general civil litigation.

Prior to joining Diepenbrock Harrison in August 2007, Jonathan was an attorney at a Sacramento law firm where he represented businesses, public entities, and private individuals in a broad range of legal matters, including litigation at both the trial and appellate levels.

Jonathan received his Juris Doctor from Santa Clara University School of Law in 2002. Additionally, he received a High Tech Law Certificate through the school's High Tech Law Institute. While in law school, Jonathan was a member of the Santa Clara Computer and High Technology Law Journal, for which he served as an Articles Editor. In 1999, Jonathan received his Bachelor of Arts from University of California, Davis, with majors in Political Science and History.

David A. Diepenbrock

David A. Diepenbrock is a Principal in Diepenbrock Harrison's Construction and Business Litigation Department. His practice areas include environmental law, water law, land use, NEPA/CEQA, construction law, and general business litigation. Prior to joining Diepenbrock Harrison in September 2007, Mr. Diepenbrock was an attorney in the San Francisco office of Sonnenschein Nath & Rosenthal LLP, where he represented clients in a broad range of commercial litigation disputes, including those involving unfair competition, false advertising, misappropriation of trade secrets, eminent domain, government contracts, franchising agreements, and complex real estate transactions. Mr. Diepenbrock received his law degree from the University of California Davis in 2001, a Bachelor of Arts degree from Oberlin College in 1988, and a Master of Arts degree from San Francisco State University in 1995.

Bradley B. Johnson

Brad Johnson is a member of Diepenbrock Harrison’s Land Use and Environmental Law Department. Brad’s practice focuses on CEQA compliance and litigation, mine regulation under the Surface Mining and Reclamation Act, Williamson Act matters, and oil and gas project permitting. Prior to joining the firm, Brad served in the Office of Governmental and Environmental Relations at the California Department of Conservation.

Brad holds a B.A. in political science with honors from the University of California, Davis and a J.D. cum laude from the University of San Diego School of Law. While in law school, Brad earned the School of Law’s Highest Merit Scholarship, Best Overall Advocate Award, multiple CALI Awards, and Highest Honors for Lawyering Skills. He wrote for Motions and received the School of Law’s Most Outstanding Contributor Award for his journal contributions to the California Regulatory Law Reporter. He also clerked for the California Legislative Counsel Bureau.

Brad is a member of the Environmental Law Section of the California State Bar Association and the Environment, Energy, and Resources Section of the American Bar Association.

Anthony J. Cortez

Anthony J. Cortez is a member of the firm’s Business and Construction Litigation Department. His practice focuses primarily on commercial and construction litigation representing corporations, general contractors, and small businesses.

Prior to joining Diepenbrock Harrison in 2008, Anthony practiced in Southern California at the boutique law firm of Krutcik & Georggin, where he focused exclusively on complex litigation in business, construction, employment, and real estate disputes.

Anthony is licensed to practice before all courts in the State of California and the United States District Courts for the Central and Eastern Districts. He is a member of the California Bar Association, the American Bar Association, the Sacramento County Bar Association, the Placer County Bar Association, and the Roseville Chamber of Commerce.

Anthony received his B.A. in Government, with a minor in Communications, from California State University, Sacramento, where he was a member of Pi Sigma Alpha, National Political Science Honor Society. He then went on to receive his Juris Doctor and a certificate in International and Comparative Law from Whittier College, where he graduated cum laude. While in law school, Anthony was the recipient of the Association of Southern California Defense Counsel (ASCD) scholarship, given to one student per law school. He was also placed on the Dean’s list all three years, was a multiple CALI-Award winner, and was named Outstanding Graduate in International and Comparative Law.

In his spare time, Anthony enjoys the outdoors with his family, and pursuing his second passion for the culinary arts.

Courtney K. Frieh

Courtney K. Frieh is a member of the firm's Land Use and Environmental Law Department. Prior to joining the firm, Courtney was an attorney with Remy, Thomas, Moose & Manley. Courtney represents a variety of public and private sector clients in land use and environmental matters, including compliance with the California Environmental Quality Act (CEQA), National Environmental Policy Act (NEPA), Coastal Act, Endangered Species Act (ESA), Subdivision Map Act, water supply and water quality mandates, and other regulatory requirements.

Courtney received her Bachelor of Arts degree in Classical Civilizations from the University of California at Davis in 2002. She received her law degree from the University of Pacific, McGeorge School of Law in 2006. Additionally, she received a Certificate in International Legal Studies while studying in Salzburg, Austria, under the instruction of Anthony M. Kennedy, Associate Justice of the Supreme Court of the United States. During law school, Courtney served as law clerk, recording secretary, and board member to the Legal Center for the Elderly and Disabled, a non-profit legal aid firm dedicated to serving the poor, elderly, and disabled residents of Sacramento and San Joaquin counties and currently serves as interim Executive Director. The Sacramento Bee recognized Courtney for her public service work. In 2005, she worked as a legal analyst to Douglas Nareau, Chief Counsel to the California Occupational Health and Safety Appeals Board. In 2006, Courtney worked as a law clerk for Remy, Thomas, Moose & Manley before joining the firm as an attorney.

Courtney is a member of the Sacramento County Bar Association and the State Bar of California.

In her spare time, Courtney enjoys kayaking, mountain biking, fishing, spending time near Tomales Bay, traveling and live music.
