as represented buyers, sellers, lenders and financing institutions in a bro=

ions involving the financing and operation of businesses nationwide.=0D=0A=0D=0AKeith is also experienced in licensing and franchising matters and has repr=
esented both licensors and licensees in the negotiation and administration =
of contracts for service and product franchises, including co-branding prog=
rams.=0D=0A=0D=0APrior to entering private practice, Keith was a staff counsel with Californ=
ia's Department of Corporations. In this capacity, he reviewed corporate se=
curities offerings and venture capital proposals from start-up entities thr=
ough major public offerings. Keith has long placed great importance on givi=
ng back to both nonprofit and civic organizations, including serving as a m=
ember of the Rotary Club of East Sacramento (2006 Group Study Exchange Team=
 Leader to Germany), and the Board of Trustees of BloodSource (the Sacramen=
to based blood bank).  He is a member of the Business Law Sections of the C=
alifornia and American Bar Associations. He also belongs to the Sacramento =
County Bar Association's Business Law Section. He provides legal services o=
n a pro bono publico basis to a variety of community charities, including t=
he Wellspring Women's Center and the Samaritan Counseling Center.=0D=0A=0D=0AKeith is a frequent author of articles and speaker on legal developments af=
fecting business.  He has also been a contributing editor to the University=
 of California Continuing Education of the Bar program for more than 25 yea=
rs. In recent years, he has also been the co-author of Organizing Corporati=
ons In California (3d Ed.), California Continuing Education of the Bar (CEB=
), and since 1983 has written a column on state securities law matters for =
CEB's Business Law Reporter.=0D=0A=0D=0AKeith received his B.A. in Mathematics and his M.A. in Political Science fr=
om the University of California, Davis. He received his J.D. from the Unive=
rsity of California, Davis, Martin Luther King, Jr. School of Law in 1973.
